6. Determining the University Finalists. During the Submission Judging Period, each Submission will be reviewed by a team of judges (the "Judges") assembled by Sponsor, who will review and judge all eligible Submissions based on the following judging criteria (collectively, the "Judging Criteria"): 50% originality; 50% creativity. Based on the total score the Judges assign to each Submission using the Judging Criteria, up to twenty-five (25) universities nominated in the selected participant’s Submission will be ultimately selected as “finalists” by the Judges. The finalists will be announced on or about March 23, 2018 on the Site and through posts on the official “Life of the Party” social media accounts.

7. Phase 2: Determining the School that Will Host the Premiere. During the Phase 2 Submission and Voting Period, all selected finalist schools will compete against each other for the right to host the Film premiere in their school’s town by accumulating the most points through public use of the school’s designated Promotion hashtag through non-spammy posts from Promotion participant accounts on Instagram, Facebook and/or Twitter and through voting functionality available on the Site. Individuals who wish to gain votes for their school must, during the Phase 2 Submission and Voting Period, (i) post publicly on social media specific content (photos, videos, written posts) that showcases his/her best school spirit using the designated hashtag specifically assigned to each finalist by Sponsor (both a custom city hashtag and the #LifeOfThePartyPremiere hashtag); and/or (ii) participate in the finalist school vote on the Site. Any content posted during Phase 2 shall be considered a “Submission” as defined above and must comply with the Submission Guidelines set forth above. Additionally, during the Phase 2 Submission and Voting Period, Site visitors may vote for a finalist school by visiting the Site and following the instructions on the Site that describes how to participate in the voting process. There is currently no limit on the number of times you can vote for a finalist school but Sponsor reserves the right to change this policy and institute limits at any time during the Phase 2 Submission and Voting Period. Each finalist school will receive one (1) vote for each public social media post that includes the finalist’s designated hashtag and one (1) vote for each vote submitted via the Site. The school that accumulates the most points at the conclusion of the Phase 2 Submission and Voting Period will be declared the winning school. Any tie in accumulated points between multiple finalists will be broken using a random drawing to select the winning school. Use of any automated, script, software, macro or robotic program or any other automated or improper means to gain votes may result in the disqualification, in the sole discretion of the Sponsor, of the finalist school to which such votes relate, of the votes themselves, or both. Any participant offering or using, or attempting to use a “cheat,” payment, or other incentive (such as, the offer or acceptance of any benefit, compensation, gift or award in conjunction with voting or not voting for a given entry), or any other means to obtain votes or manipulate the results of the public voting may have their finalist school disqualified and any votes earned by those means may be void, in Sponsor’s sole discretion. Sponsor shall have the sole discretion to institute policies, protocols and procedures designed to enforce the intent of such restriction. Use of the designated hashtag constitutes each participant’s agreement to these Terms. There is a limit of one (1) Submission per person, per social media platform, per day for Phase 2 of the Promotion. When visiting the Site to submit your vote, participants may optionally provide his/her email address to Sponsor in order to be among the first to receive ticket information for the star-studded Film premiere if your school is ultimately selected as the winner. Information provided will be subject to Sponsor’s Privacy Policy as noted in Section 12 below.

No responsibility is assumed by Sponsor if screening/premiere is cancelled, rescheduled, delayed or postponed, in whole or in part. Unused tickets cannot be refunded or exchanged. Sponsor reserves the right to change the premiere to a screening of the Film in its sole and absolute discretion.

Sponsor additionally reserves the right, in its sole and absolute discretion: (a) to modify, suspend or terminate the Promotion should causes beyond Sponsor’s control corrupt or interfere with the administration, integrity, operation, security or proper play of the Promotion; or (b) to disqualify any participant or school found to be, or suspected of: (i) tampering with the entry process or the operation of the Promotion; (ii) acting in violation of these Terms; or (iii) acting in an un-sportsmanlike manner.

By participating in the Promotion, each participant unconditionally accepts and agrees to comply with and abide by these Terms and the decisions of Sponsor, including the interpretation of these Terms and its exercise of discretion, which will be final and binding in all respects.

Additionally, information collected from participants on the submission form on the Site will be used consistent with Sponsor’s privacy policy, available at https://www.warnerbros.com/privacy.

13. Governing Law / Limitation of Liability. All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms or the rights and obligations of participants, Sponsor or the Released Parties in connection with the Promotion will be governed by and construed in accordance with the internal laws of the State of California, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other laws.

BY ENTERING THE PROMOTION, PARTICIPANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (A) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE PROMOTION, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (B) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; AND (C) UNDER NO CIRCUMSTANCES WILL ANY PARTICIPANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND PARTICIPANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.

14. Dispute Resolution. The parties each agree to finally settle all disputes only through arbitration; provided, however, the Sponsor shall be entitled to seek injunctive or equitable relief in the state and federal courts in Los Angeles County, California and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury and review is limited. The arbitrator’s decision and award is final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as set forth above, any claim, suit, action or proceeding arising out of or relating to this Promotion shall be resolved solely by binding arbitration before a sole arbitrator under the streamlined Arbitration Rules Procedures of JAMS Inc. ("JAMS”) or any successor to JAMS. In the event JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a “Demand for Arbitration”, then either party can elect to have the arbitration administered by the American Arbitration Association ("AAA") or any other mutually agreeable arbitration administration service. If an in-person hearing is required, then it will take place in Los Angeles, California. The federal or state law that applies to these Terms will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate doesn’t apply and the dispute must be brought in a court of competent jurisdiction in Los Angeles County, California. Sponsor agrees to pay the administrative and arbitrator’s fees in order to conduct the arbitration (but specifically excluding any travel or other costs of participant to attend the arbitration hearing). Either party may, notwithstanding this provision, bring qualifying claims in small claims court.

15. Miscellaneous. The invalidity or unenforceability of any provision of these Terms will not affect the validity or enforceability of any other provision. In the event that any provision of the Terms is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Terms will not constitute a waiver of that provision. Participants agree to waive any rights to claim ambiguity of these Terms. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion-related materials, privacy policy or terms of use on any website, social media platform or application and/or the terms and conditions of the Terms, the Terms shall prevail, govern and control and the discrepancy will be resolved in Sponsor’s sole and absolute discretion. Sponsor reserves the right to modify these Terms, at any time without prior notice (“Updated Terms”). You agree that we may notify you of the Updated Terms by posting them on the Site so that they are accessible via a link on the Site, and that your use of the Site after we post the Updated Terms (or engaging in such other conduct as we may reasonably specify) constitutes your agreement to the Updated Terms. The Updated Terms will be effective as of the time that Sponsor posts them on the home page of the Site, or such later date as may be specified in them.
